Terms of Service for Newton Products 

Effective Date: 1st Jan, 2025.

Welcome to Newton Products. These Terms of Service (“Terms”) govern your access and use of Newton software solutions, including but not limited to Newton CRM, ERP, SCM, HRMS, AI, and other related services. By using any Newton product, you agree to these Terms. If you do not agree, please do not use our services.

 

1. Definitions

“Newton Products” refers to the software and services offered under the Newton brand, including CRM, ERP, SCM, HRMS, AI, and other related solutions provided by Nippon Data Systems Ltd.

“User” refers to any individual or business using Newton Products.

“Subscription” refers to the paid or free plan chosen by the user.

“Third-Party Services” refers to integrations available on the marketplace or otherwise which are created, developed or licensed or owned by third party developers.

“Confidential Information” refers to any proprietary or sensitive data shared between Us and You.

“SaaS” refers to the Software-as-a-Service model under which Newton operates.

 

2. Customer Rights

 Users have the right to access and use Newton Products as per their subscription plan.

Users have the right to data ownership and can export or request deletion of their data.

Users can request support and assistance based on their plan’s service level agreement (SLA).

3. Customer Responsibilities

Users must provide accurate registration information.

Users must comply with all applicable laws while using Newton Products.

Users are responsible for the security of their accounts, including password protection and access control.

Users must ensure compliance with third-party service terms if integrating Newton Products with external platforms.

 

4. Changes to Website and Services

We reserve the right to modify, update, or discontinue any part of the website or services at any time. And the terms here apply to that also.

Major changes may be communicated in advance via email or in-app notifications. Our content on the website may be out of date and we are under no obligation to update it.

Users continuing to use Newton Products after changes accept the modified terms and conditions.

 

5. Intellectual Property Rights

All Newton Products, including software, documentation, and branding, are the intellectual property of Nippon Data Systems Ltd.

Users are granted a limited, non-exclusive, non-transferable license to use Newton Products.

Users may not copy, modify, distribute, or reverse-engineer any part of Newton Products.

Any feedback or suggestions provided by users may be used by Us without compensation.

6. Billing, Plan Modifications, and Payment

Subscription fees are billed in accordance with the selected plan.

Payments are non-refundable unless otherwise specified.

Newton reserves the right to change pricing with prior notice.

Late or failed payments may result in service suspension.

You subscription to service will be automatically renewed

7. Suspension and Termination

We may suspend or terminate accounts due to policy violations, unpaid fees, or security concerns.

Users may terminate their account at any time, subject to applicable cancellation policies.

Data retention policies will be communicated upon termination.

 

8. Confidentiality

Both parties agree to maintain the confidentiality of sensitive business and user data.

Confidentiality obligations remain in effect even after account termination.

9. Data Privacy and Security

Newton implements security measures to protect user data, including encryption and access controls. · Our Privacy Policy explains data collection, usage, and storage practices.

Users may request access, modification, or deletion of their data as per privacy regulations.

10. Data Migration

We provide data migration support for users transitioning to our platform.

Migration assistance is available based on subscription level and may incur additional fees.

You hereby acknowledge that we may access your data while providing such services.

We are not responsible for data loss during third-party system transfers.

11. Communication from Us

Newton may send users service updates, notifications, and marketing emails.

Users can opt-out of marketing emails but will continue receiving critical service communications.

12. Disclaimer of Warranties

Newton Products are provided “as is” without any warranties, express or implied.

Newton does not guarantee uninterrupted or error-free service.

Newton is not liable for data loss, service interruptions, or software incompatibility with third-party platforms.

13. Limitation of Liability

Newton’s liability is limited to the amount paid by the user in the past six months.

Newton is not responsible for indirect, incidental, or consequential damages arising from service use.

Newton is not responsible for financial losses, business interruptions, or third-party service failures.

14. Indemnification

Users agree to indemnify and hold Newton harmless from any claims, damages, or legal actions arising from misuse of Newton Products.

Newton is not responsible for disputes between users and third parties.

15. Assignment, Entire Agreement, and Revisions

Users may not transfer or assign their subscription rights without Newton’s consent.

These Terms constitute the entire agreement between Newton and the user.

Newton reserves the right to update these Terms and will provide notice of significant changes.

16. Governing Law

These Terms are governed by the laws of India.

Any disputes will be resolved in the courts of Delhi, India.

17. Changes to These Terms

Newton may update these Terms periodically.

Users will be notified of major changes via email or in-app notifications.

Continued use of Newton Products after changes constitutes acceptance of the revised Terms.

By using Newton Products, you agree to these Terms of Service.
